Evalation LLC — Evalation Ops

These Terms of Service ("Terms") govern your use of Evalation Ops operated by Evalation LLC at evalationops.com and evalation.app (the "Platform"). By creating an account, you agree to these Terms.

1. Eligibility

You must be at least 18 and have legal authority to enter these Terms. You are responsible for all activity under your account.

2. Subscription and Payment

2.1 Plans

Evalation Ops is subscription-based. We reserve the right to change pricing with 30 days notice.

2.2 Billing

Billed monthly or annually in advance via Stripe.

2.3 Cancellation

Cancel anytime. Takes effect at end of billing period. No refunds for partial periods.

2.4 Free Trials

Payment method charged at trial end unless cancelled.

3. Acceptable Use

You agree not to:

• Violate any applicable law
• Upload malicious code or interfere with the Platform
• Attempt unauthorized access to any part of the Platform
• Send unsolicited commercial SMS or email in violation of applicable law
• Resell Platform access without written permission

4. SMS Communications

If you use the Platform's SMS features to communicate with your clients, you are responsible for:

• Obtaining proper opt-in consent from your message recipients
• Honoring opt-out requests promptly
• Complying with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable carrier guidelines
• Ensuring your message content complies with Twilio's Acceptable Use Policy

Evalation LLC is not liable for SMS messages sent by you through the Platform to your clients.

5. Google Business Profile Integration

By connecting your Google Business Profile, you represent you are authorized to manage it. You authorize us to access and manage your GBP data on your behalf. You may revoke this authorization at any time from your account settings or Google Account settings.

6. Your Content

You retain ownership of all data you upload. You grant us a limited license to store and process it solely to provide the Platform. We will not use your content for any other purpose.

7. Intellectual Property

The Platform is owned by Evalation LLC. These Terms grant you only the right to use the Platform as described herein.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVALATION LLC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify Evalation LLC from claims arising from your use of the Platform, your content, or your violation of these Terms.

11. Termination

We may terminate your account for violations of these Terms. Sections 6, 7, 8, 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Idaho. Disputes shall be resolved in state or federal courts in Ada County, Idaho.

13. Changes

We will notify you of material changes by email or Platform notice. Continued use constitutes acceptance.
